ARTICLE I NAME
The name of this organization is KING CITY MEN'S GOLF
CLUB
ARTICLE II PURPOSE
The purpose for which this club has been formed is
to coordinate, direct and regulate the activities of
the KING CITY MEN'S GOLF CLUB in the use of the facilities
of the KING CITY GOLF course, and to promote fellowship
and further the enjoyment of all golfing activities
of its membership.
ARTICLE III CALENDAR YEAR
The year of the association shall be from November
1 following the annual meeting through October 31 of
the following year.
AMENDED '99
Newly elected officers assume office following the annual
meeting. Due to computer and membership book time constraints,
annual dues are due Jan 1.
ARTICLE IV MEMBERSHIP
The membership shall consist of men who pay the annual
dues.
Members of the KING CITY CIVIC ASSOCIATION may hold
full membership in the KING CITY MEN'S GOLF CLUB and
are entitled to all rights and privileges.
Men not members of the KING CITY CIVIC ASSOCIATION
may be members of the KING CITY MEN'S GOLF CLUB and
are entitled to all rights and privileges except to
hold the offices of President, Vice President, Secretary
and Treasurer.
ARTICLE V MANAGEMENT
The control and management of this club is entrusted
to a BOARD of DIRECTORS consisting of six (6) members
elected from the full membership at the annual meeting
of the club.

Section 1 NOMINATION OF DIRECTORS
A nominating committee of three (3) full members
shall be appointed by the President of the BOARD of
DIRECTORS at least thirty (30) days prior to the Annual
Meeting. Such committee shall nominate two (2) eligible
members and deliver them to the secretary at least
twenty (20) days prior to the Annual Meeting. The
same shall be posted on the bulletin board at the
Pro Shop at least ten (10) days prior to the Annual
Meeting.
Section 2 TERM OF DIRECTORS
Two (2) members shall be elected each year by the
membership, who shall serve for a term of three (3)
years. The retiring President may serve as a non-voting
advisor for a term of one (1) year. In the event a
board member is unable to fulfill his term of office,
the BOARD OF DIRECTORS shall appoint a director for
the unexpired term.
Section 3 POWERS OF DIRECTORS
The BOARD OF DIRECTORS shall have the power to make
and enforce such rules and regulations as are necessary
for the activities and ventures of the club, and through
its President, to appoint such committees as deemed
advisable and to proscribe their duties.
Section 4 MEETING OF DIRECTORS
The Board shall meet at least once a month and the
meeting shall be held at the call of the President
or Vice President. Four (4) members shall constitute
a quorum at any meeting.
ARTICLE VI OFFICERS
Immediately after the annual election of the BOARD
OF DIRECTORS, the directors shall elect a President,
Vice President, Secretary, and Treasurer each of whom
shall hold office for one year.
ARTICLE VII DUES
Prior to the Annual Meeting the BOARD OF DIRECTORS
shall prepare a recommendation for the dues for the
following year and present this recommendation to the
Annual Meeting for approval, rejection or modification.
ARTICLE VIII CLUB MEETINGS
The Annual Meeting of the Club shall be called by the
President and at the discretion of the Board. Special
meetings may be called at any time by the President
as the need arises.
ARTICLE IX AMENDMENT OF BYLAWS
These Bylaws may be changed by additions, deletions
and amendment by a majority vote of the Full Members
at any meeting, provided that the notice of the proposed
change shall be posted on the bulletin board at the
Pro Shop at least (10) days prior to the meeting at
which the change or changes are to be considered.
AMENDMENT (Feb 2002)
Board vote may be taken by Telephone or E-mail, requiring
four ( 4) members as a quorum and results presented
at the next regular Board meeting.
AMENDMENT (Oct 2003)
Article IV: KCMGC President must be a member of the
KCCA. V/President, Secretary and Treasurer need not
be King City residents.
Article V: Board of Directors shall consist of six
(6) members.
Article V: Section Four: Four (4) members shall constitute
a quorum at any meeting.
